End User License Agreement
Effective Date: September 15, 2026
This End-User License Agreement (“Agreement”) governs access to and use of the Bark Portal mobile application and related services (“Bark Portal” or the “App”) provided by **Bark at the Moon Graphics** (“Company,” “we,” “us,” or “our”).
Bark Portal is a private, internal business-management application. It is not offered for general public use.
By accessing, installing, signing into, or using Bark Portal, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to this Agreement, you may not access or use Bark Portal.
1. Acceptance of This Agreement
Your access to and use of Bark Portal is conditioned on your acceptance of this Agreement.
You may use the App only if you are authorized by Bark at the Moon Graphics and are legally capable of agreeing to these terms. Continued use of the App constitutes continued acceptance of this Agreement, including any updates made in accordance with Section 16.
2. Eligibility and Authorized Internal Use
Bark Portal is intended only for employees, contractors, service providers, and other individuals specifically authorized by Bark at the Moon Graphics.
Access to Bark Portal does not create any employment, contractor, partnership, agency, or other relationship that does not otherwise exist between you and the Company.
Authorization to access the App may be limited based on your role or business need. Certain information or features may be available only to specific authorized users.
You may not allow any unauthorized person to access or use Bark Portal.
3. Limited License
Subject to your compliance with this Agreement, Bark at the Moon Graphics grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to install and use Bark Portal solely for authorized Company business purposes.
This license does not transfer ownership of Bark Portal or any Company software, content, information, intellectual property, or data to you.
The Company may revoke this license or your access to the App at any time as permitted by this Agreement.
4. User Accounts and Account Security
Access to Bark Portal requires an individual authorized account.
You are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account.
You may not:
– Share your username, password, authentication credentials, or account with another person.
– Allow another person to use your account.
– Access Bark Portal using another person’s credentials.
– Attempt to bypass authentication or access restrictions.
– Continue using an account after your authorization has been revoked.
You must promptly notify Bark at the Moon Graphics if you believe your account, credentials, device, or access to Bark Portal has been compromised or used without authorization.
The Company may require password changes, account reauthorization, or other reasonable security measures when appropriate.
5. Confidential and Business Information
Bark Portal may provide access to confidential or sensitive information belonging to Bark at the Moon Graphics, its clients, vendors, contractors, employees, or other parties.
This information may include, among other things:
– Client information.
– Project and job information.
– Calendars and schedules.
– Notes and internal communications.
– Files and documents.
– Business records.
– Financial information.
– Accounting information.
– Invoices and accounts receivable information.
– Accounts payable information.
– Bank or account balance information.
– Other non-public Company or client information.
You must use information available through Bark Portal only for legitimate, authorized business purposes.
You must take reasonable steps to protect confidential information from unauthorized access, disclosure, copying, distribution, loss, or misuse.
Your obligations relating to confidential information may continue after your access to Bark Portal ends to the extent required by applicable agreements, Company policies, or law.
6. Prohibited Activities
You may not use Bark Portal in a manner that is unauthorized, unlawful, harmful to the Company or its clients, or inconsistent with legitimate Company business purposes.
Unless specifically authorized by Bark at the Moon Graphics, you may not:
– Access accounts, records, files, systems, or information that you are not authorized to access.
– Share account credentials or authentication information.
– Copy, export, distribute, publish, sell, transfer, or disclose Company or client information for unauthorized purposes.
– Use Bark Portal data for personal purposes or for the benefit of an unauthorized third party.
– Attempt to circumvent authentication, permissions, access controls, or security measures.
– Probe, scan, test, or attempt to identify vulnerabilities in the App, Company servers, APIs, networks, or connected services without written authorization.
– Interfere with or disrupt the operation of Bark Portal or connected systems.
– Introduce malicious code, malware, automated attacks, or other harmful technology.
– Reverse engineer, decompile, disassemble, decode, or attempt to derive the source code or underlying structure of Bark Portal except to the limited extent such restriction is prohibited by applicable law.
– Modify, reproduce, create derivative works from, redistribute, sublicense, sell, lease, or commercially exploit Bark Portal.
– Misrepresent your identity or authorization.
– Use Bark Portal in violation of applicable law, third-party agreements, or Company policies.
Nothing in this Agreement prohibits activity that applicable law expressly permits despite a contractual restriction.
7. Third-Party Services
Bark Portal may integrate with or provide access to services operated by third parties.
These services currently may include **Google Drive, Google services, QuickBooks Online, Intuit services, and Apple services**.
Use of a third-party service may be subject to separate agreements, privacy policies, licenses, security requirements, and terms established by that third party. Your use of those services must comply with any applicable third-party terms in addition to this Agreement.
### Google Drive
Bark Portal may connect to Google Drive using authorization granted through Google.
The App’s currently implemented Google Drive functionality is designed to provide read-only access to authorized Google Drive files and folders. Bark Portal does not grant you any additional rights to Google Drive content beyond the rights you otherwise possess.
Google controls its own authentication systems, authorization processes, APIs, service availability, and terms.
### QuickBooks Online and Intuit
Bark Portal may connect to QuickBooks Online through Intuit’s OAuth authorization process.
The QuickBooks functionality currently implemented in Bark Portal is limited to retrieving and displaying authorized company and accounting information. The current integration is not designed to create, edit, delete, send, approve, or pay QuickBooks records or transactions.
This description concerns the functionality currently implemented by Bark Portal. It does not characterize or limit the permissions, capabilities, terms, or technical operation of Intuit’s OAuth system or QuickBooks Online APIs.
Authorization credentials and tokens used for the QuickBooks integration are handled through Company-controlled server systems and are not intended to be exposed directly to Bark Portal users.
QuickBooks Online and Intuit services remain subject to applicable Intuit terms and policies.
### Apple
Bark Portal is an iOS application and may depend on Apple hardware, software, operating systems, development technologies, distribution systems, or related services.
Apple’s own terms and policies apply separately to your use of Apple products and services.
8. No Third-Party Affiliation or Endorsement
Bark at the Moon Graphics and Bark Portal are independent from Google LLC, Intuit Inc., Apple Inc., and their respective affiliates.
Bark Portal is not represented as being sponsored, endorsed, approved, certified, or operated by Google, Intuit, QuickBooks, or Apple.
The names, trademarks, service marks, logos, and products of third parties remain the property of their respective owners.
References to third-party products or services are made solely to identify services with which Bark Portal may interact.
9. Ownership and Intellectual Property
Bark Portal, including its software, design, interfaces, graphics, workflows, documentation, Company-created content, and related intellectual property, is owned by or licensed to Bark at the Moon Graphics and is protected by applicable intellectual property laws.
Except for the limited license expressly provided in this Agreement, no ownership interest or other right in Bark Portal is granted to you.
Client information, third-party content, Google Drive content, QuickBooks information, and other information accessed through connected services remain subject to the ownership rights and agreements applicable to that information.
All rights not expressly granted in this Agreement are reserved.
10. Availability, Maintenance, and Changes
Bark Portal is an internal business tool and may be modified from time to time.
The Company may:
– Add, change, or remove features.
– Modify interfaces or workflows.
– Perform maintenance.
– Update security requirements.
– Change third-party integrations.
– Temporarily disable features.
– Discontinue some or all of the App.
Bark Portal may depend on internet access, Company servers, hosting providers, APIs, authentication providers, Apple services, Google services, Intuit services, or other third-party systems.
As a result, some features may occasionally be delayed, unavailable, interrupted, or changed for reasons outside the Company’s control.
The Company does not guarantee continuous or uninterrupted access to Bark Portal or permanent availability of any particular feature or data.
11. Suspension and Termination
Bark at the Moon Graphics may suspend, limit, or terminate your access to Bark Portal when reasonably appropriate, including if:
– Your employment, contractor relationship, or other authorization ends.
– Your business need for access changes.
– The Company believes your account may have been compromised.
– You violate this Agreement or applicable Company policies.
– Your use creates a security, confidentiality, operational, or legal concern.
– Continued access is no longer authorized by the Company.
Upon termination of your authorization, your license to use Bark Portal immediately ends.
You must stop accessing the App and, when requested, remove the App and Company information from devices or systems under your control, subject to applicable law and Company data-retention requirements.
Suspension or termination of Bark Portal access does not necessarily affect rights or obligations that arose before termination.
12. Disclaimer of Warranties
Bark Portal is provided as an internal business tool on an “as is” and “as available” basis to the extent permitted by law.
While the Company may take reasonable steps to maintain and operate the App, the Company does not warrant that:
– Bark Portal will always be available or uninterrupted.
– The App will always operate without errors.
– Every feature will remain available.
– Information received from third-party services will always be complete, current, or accurate.
– Every device, operating-system version, or network environment will be supported.
– Third-party integrations will remain unchanged or continuously available.
Financial, accounting, invoice, account-balance, or other information displayed by Bark Portal may originate from QuickBooks Online or other systems. Bark Portal is intended as a convenient internal interface and should not be treated as a replacement for official accounting records when verification of financial information is required.
To the extent permitted by applicable law, Bark at the Moon Graphics disclaims warranties that would otherwise be implied by law.
Nothing in this Agreement excludes a warranty or right that cannot legally be excluded.
13. Limitation of Liability
To the fullest extent permitted by applicable law, Bark at the Moon Graphics will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of or inability to use Bark Portal.
This includes, to the extent permitted by law, losses resulting from:
– Service interruptions.
– Delayed or unavailable information.
– Third-party service failures.
– Unauthorized use resulting from your failure to protect your credentials.
– Errors or delays in data received from third-party systems.
– Loss of business information that exists independently in another Company or third-party system.
Nothing in this Agreement limits or excludes liability to the extent that such liability cannot lawfully be limited or excluded.
Nothing in this section eliminates any rights available to you under applicable law that cannot legally be waived.
14. Indemnification
To the extent permitted by applicable law and any applicable employment, contractor, or other agreement with Bark at the Moon Graphics, you agree to be responsible for losses, claims, damages, liabilities, or reasonable expenses arising from your intentional misconduct, unauthorized use of Bark Portal, unlawful disclosure or misuse of confidential information, or material violation of this Agreement.
This section does not require an employee to indemnify the Company where such an obligation would be prohibited by law or inconsistent with applicable employment law or an existing written agreement.
15. Governing Law and Venue
This Agreement is governed by the laws of the **State of Ohio**, without regard to conflict-of-law principles, except where applicable law requires otherwise.
To the extent a dispute arising from this Agreement may lawfully be subject to an agreed venue, the parties agree that such dispute will be brought in an appropriate state or federal court located in or serving **Summit County, Ohio**.
Nothing in this section prevents either party from exercising rights that applicable law does not permit to be restricted by contract.
16. Changes to This Agreement
Bark at the Moon Graphics may update this Agreement when the App, its integrations, Company practices, legal requirements, or other circumstances change.
When appropriate, an updated Agreement may be made available through the App, the Company’s website, or another reasonable method.
The effective date at the beginning of this Agreement will identify the applicable version.
Continued use of Bark Portal after an updated Agreement becomes effective constitutes acceptance of the updated Agreement to the extent permitted by applicable law.
17. Privacy
Bark Portal’s privacy practices are described separately in the **Bark Portal Privacy Policy**.

The Privacy Policy is separate from this End-User License Agreement and describes applicable practices relating to information handled through Bark Portal.
18. Severability
If any provision of this Agreement is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it enforceable where permitted by law.
If it cannot be made enforceable, that provision will be severed, and the remaining provisions will continue in effect.
19. Waiver
A failure or delay by Bark at the Moon Graphics in exercising a right under this Agreement does not waive that right.
A waiver of one violation does not constitute a waiver of another or subsequent violation.
20. Assignment
You may not assign, transfer, delegate, or sublicense your rights or obligations under this Agreement without prior written permission from Bark at the Moon Graphics.
The Company may assign this Agreement in connection with a merger, reorganization, sale of business assets, change of control, or other lawful business transaction, subject to applicable law.
21. Entire Agreement
This Agreement constitutes the agreement regarding your license to and authorized use of Bark Portal.
It does not replace separate agreements that may apply to your employment, contractor relationship, confidentiality obligations, client responsibilities, third-party services, or other matters.
If another written agreement between you and Bark at the Moon Graphics expressly governs a particular issue and conflicts with this Agreement, the more specific agreement will control with respect to that issue unless otherwise stated.
